1 Overenskomst mellom Kongeriket Norge og Guernsey om utveksling av opplysninger i skattesaker

Da Regjeringen i Kongeriket Norge og Regjeringen i Guernsey («partene») anerkjenner at den gjeldende lovgivningen i Guernsey legger til rette for samarbeid og utveksling av opplysninger i straffesaker om overtredelse av skattelovgivningen;

Da partene lenge har deltatt aktivt i internasjonale bestrebelser i kampen mot økonomisk og annen kriminalitet, herunder tiltak rettet mot finansiering av terrorisme;

Da det bekreftes at Guernsey i henhold til vilkårene for deres bemyndigelse fra det Forente Kongerike har rett til å forhandle, inngå, utøve og på de vilkår som angis i denne overenskomst si opp en overenskomst med Kongeriket Norge om utveksling av opplysninger i skattesaker;

Da Guernsey 21. februar 2002 har avgitt en politisk bindende erklæring om tilslutning til OECDs prinsipper om effektiv utveksling av opplysninger;

Da partene ønsker å forbedre og utvikle vilkårene og de forhold som styrer utveksling av opplysninger vedrørende skatter;

Har partene kommet overenskomst om å inngå den følgende overenskomst som kun forplikter partene:

Artikkel 1

Overenskomstens virkeområde

Partene skal yte hverandre bistand ved å utveksle opplysninger som er overskuelig relevante for forvaltningen eller iverksettelsen av de interne lovbestemmelser som omfattes av denne overenskomst, herunder opplysninger som er overskuelig relevante for fastsetting, iligning, innkreving, innfordring og tvangsinndriving overfor personer som er undergitt beskatning med hensyn til slike skatter, eller for etterforskning eller rettsforfølgning i skattesaker av slike personer. Den anmodede part er ikke pliktig til å tilveiebringe og oversende opplysninger som verken innehas av deres myndigheter eller innehas eller kan innhentes fra personer som er under deres territoriale jurisdiksjon. De rettigheter og det vern som tilkommer personer i henhold til lovgivningen eller administrativ praksis i den anmodede part skal fortsatt gjelde i den utstrekning en effektiv utveksling av opplysninger ikke blir unødig hindret eller forsinket.

Artikkel 2

De skatter som omfattes av overenskomsten

  1. Denne overenskomst skal gjelde for følgende skatter som utskrives av partene:

    1. i Guernsey:

      1. skatt på inntekt;

      2. skatt på avkastning av boligeiendom;

    2. i Norge:

      1. skatt på alminnelig inntekt;

      2. skatt på personinntekt;

      3. særlig skatt på petroleumsinntekt;

      4. grunnrenteskatt på inntekt fra produksjon av vannkraft;

      5. kildeskatt på utbytter; og

      6. skatt på honorar til utenlandske artister m.v.

  2. Denne overenskomst skal også få anvendelse på alle identiske skatter som i tillegg til eller i stedet for de gjeldende skatter, blir utskrevet etter tidspunktet for undertegningen av denne overenskomsten. Dersom partene blir enige om dette, skal overenskomsten også få anvendelse på alle skatter av vesentlig lignende art, som i tillegg til eller i stedet for de gjeldende skatter blir utskrevet etter undertegningen av denne overenskomst. Partenes kompetente myndigheter skal underrette hverandre om vesentlige endringer i deres lovgivning som kan innvirke på deres forpliktelser etter denne overenskomst.

Artikkel 3

Definisjoner

  1. I denne overenskomst, med mindre annet fremgår av sammenhengen:

    1. betyr «Guernsey» Guernsey, Alderney og Herm, herunder sjøterritoriet tilliggende disse øyene, i overensstemmelse med folkeretten;

    2. betyr «Norge» Kongeriket Norge, og omfatter landterritoriet, indre fravann, sjøterritoriet og områdene utenfor sjøterritoriet hvor Kongeriket Norge i overensstemmelse med norsk lovgivning og folkeretten, kan utøve sine rettigheter med hensyn til havbunnen og undergrunnen samt deres naturforekomster; utrykket omfatter ikke Svalbard, Jan Mayen og de norske biland;

    3. betyr «selskap» enhver juridisk person eller enhver enhet som i skattemessig behandles som en juridisk person;

    4. betyr «kompetent myndighet» i Guernsey; «the Administrator of Income Tax» eller den som har fullmakt fra ham; i Norge; finansministeren eller den som har fullmakt fra finansministeren;

    5. betyr «straffelovgivning» all straffelovgivning som omtales som dette i intern lovgivning, uansett som den omhandles i skattelovgivningen, straffelovgivningen eller i annen lovgivning;

    6. betyr «straffbar skattesak» en skattesak som omfatter forsettlig handling, uavhengig av om denne er foretatt før eller etter ikrafttredelsen av denne overenskomst, og som innebærer rettsforfølging etter straffelovgivningen i den anmodende part;

    7. betyr «midler for å innhente opplysninger» lovgivning eller administrative eller judisielle tiltak som setter den anmodede part i stand til å tilveiebringe og oversende de anmodede opplysninger;

    8. betyr «opplysninger» enhver omstendighet, underretning, dokument eller opptegning i enhver form;

    9. betyr «person» en fysisk person, et selskap og enhver annen sammenslutning av personer;

    10. betyr «allmennaksjeselskap» ethvert selskap hvis prinsipale aksjeklasse er notert på en anerkjent børs forutsatt at aksjene fritt kan kjøpes og selges av allmennheten. Aksjene kan kjøpes eller selges av «allmennheten» dersom kjøp og salg av aksjer ikke underforstått eller uttrykkelig er forbeholdt en begrenset gruppe investorer;

    11. betyr «prinsipal aksjeklasse» den eller de aksjeklasser som utgjør majoriteten av stemmeretten i eller verdien av selskapet;

    12. betyr «offentlig kollektiv investeringsordning» enhver ordning eller fond, hvor kjøp, salg eller innløsning av aksjer eller andre rettigheter ikke underforstått eller uttrykkelig er forbeholdt en begrenset gruppe investorer;

    13. betyr «anerkjent børs» enhver børs som partenes kompetente myndigheter har blitt enige om å anerkjenne som sådan;

    14. betyr «anmodede part» den part i denne overenskomsten som er anmodet om eller har gitt opplysninger etter anmodning;

    15. betyr «anmodende part» den part i overenskomsten som fremmer en anmodning om eller som har mottatt opplysninger fra den anmodede part;

    16. betyr «skatt» enhver skatt som er omfattet av overenskomsten.

  2. Når en part på et hvilket som helst tidspunkt anvender denne overenskomsten, skal ethvert uttrykk som ikke er definert i overenskomsten, når ikke annet fremgår av sammenhengen, ha den betydning som uttrykket på dette tidspunkt har i henhold til skattelovgivningen i denne part. Den betydning som uttrykket har i henhold til skattelovgivningen i denne part, gjelder fremfor den betydningen som uttrykket gis i annen lovgivning i denne part.

Artikkel 4

Utveksling av opplysninger etter anmodning

  1. Den kompetente myndighet i den anmodede part skal etter anmodning fra den anmodende part oversende opplysninger for de formål som er angitt i artikkel 1. Slike opplysninger skal utveksles uten hensyn til om den anmodede part har behov for slike opplysninger til sine egne skatteformål, eller om de forhold som undersøkesville utgjøre en straffbar handling etter lovgivningen i den anmodede part dersom de hadde inntruffet på denne parts territorium. Den kompetente myndighet i den anmodende part skal bare fremme en anmodning om opplysninger etter denne artikkel dersom den ikke er i stand til å innhente opplysningene på andre måter, med mindre slik andre måter skulle medføre uforholdsmessig vanskeligheter.

  2. Dersom de opplysninger den kompetente myndighet i den anmodede part er i besittelse av ikke er tilstrekkelige til å oppfylle anmodningen, skal denne part etter eget skjønn benytte alle de relevante midler for å innhente opplysninger som er nødvendige for å skaffe den anmodende part de ønskede opplysninger, uansett om den anmodede part selv har behov for opplysningene til egne skatteformål.

  3. Såfremt de kompetente myndigheter i den anmodende part spesielt anmoder om det, skal den kompetente myndighet i den annen part, i den utstrekning dette er mulig etter denne parts lovgivning, tilveiebringe opplysninger i henhold til denne artikkel i form av vitneforklaringer og bekreftede kopier av bekreftede originale dokumenter.

  4. Hver av partene skal sørge for at den har de nødvendige fullmakter til å sikre at den kompetente myndighet, for de formål som angis i artikkel 1, etter anmodning kan innhente og oversende:

    1. opplysninger som innehas av banker, andre finansinstitusjoner og enhver annen person, herunder forvalter eller person som opptrer i egenskap av representant eller fullmektig;

      1. informasjon om de juridiske og reelle eierskapsforholdene i selskaper, sammenslutninger, stiftelser eller andre personer, herunder slike opplysninger som gjelder kollektive investeringsordninger, opplysninger om aksjer, andeler og andre rettigheter;

      2. når det gjelder truster, opplysninger om stiftere, forvaltere og rettighetshavere; når det gjelder stiftelser, opplysninger om stiftere, medlemmer av styret i stiftelsen og rettighetshavere.

        Denne overenskomst etablerer ingen plikt for en part å innhente og skaffe opplysninger om eierskap med hensyn til allmennaksjeselskaper eller allmenne kollektive investeringsordninger, med mindre slike opplysninger kan innhentes uten uforholdsmessige vanskeligheter.

  5. Enhver anmodning om opplysninger skal være skriftlig og utformes så utførlig som mulig med opplysning om:

    1. identiteten til den person som undersøkes eller utredes;

    2. det tidsrom som opplysninger vedrører;

    3. hva slags opplysninger som det anmodes om og den form den anmodende part ønsker å motta dem i;

    4. det skatteformål opplysningene søkes til;

    5. grunnene til å anta at opplysningene er overskuelig relevante for forvaltningen eller inndrivingen av skatt i den anmodende part vedrørende den person som er angitt i underpunkt (a) i dette punkt;

    6. grunnene til å anta at de opplysninger som søkes befinner seg hos den anmodende part eller kan innhentes hos en person som er underlagt denne parts jurisdiksjon;

    7. i den utstrekning det er kjent, navn og adresse på enhver person som kan antas å være i besittelse av eller som råder over de opplysninger som søkes innhentet;

    8. en erklæring om at anmodningen er i samsvar med lovgivning og administrativ praksis i den anmodende part, sik at dersom de opplysninger som søkes var under jurisdiksjonen til anmodende part, ville denne part kunne innhente opplysningene etter sin lovgivning og vanlige administrative praksis, samt at anmodningen er i overensstemmelse med denne overenskomst;

    9. en erklæring om at den anmodende part har uttømt alle tilgjengelige muligheter til å innhente opplysningene på eget territorium, unntatt de som ville innebære uforholdsmessige vanskeligheter.

  6. Den kompetente myndighet i den anmodede part skal overfor den anmodende part bekrefte mottagelsen av anmodningen, og gjøre sitt ytterste for å oversende de opplysningene som søkes til den anmodende part snarest mulig.

Artikkel 5

Skatteundersøkelser i utlandet

  1. Ved rimelig varsel kan den anmodende part anmode den anmodede part om at den samtykker i at representanter for den kompetente myndighet i den anmodende part, i den utstrekning lovgivningen i den anmodede part tillater det, å være tilstede i denne parts territorium, og der avhøre fysiske personer og undersøke dokumenter og opptegnelser med disse eller andre berørte personers skriftlige samtykke. Den kompetente myndighet i den anmodende part skal underrette den kompetente myndighet i den anmodede part om tid og sted for det påtenkte møtet med angjeldende personer.

  2. Etter anmodning fra den anmodende part, kan den kompetente myndighet i den anmodede part samtykke i at representanter for den kompetente myndighet i den anmodende part er tilstede ved en skatteundersøkelse på den anmodede parts territorium.

  3. Hvis samtykke etter punkt 2 er gitt, skal den kompetente myndighet i den anmodede part som forestår undersøkelsen, så snart som mulig underrette den kompetente myndighet i den anmodende part om tid og sted for undersøkelsen, den myndighet eller de personer som forestår undersøkelsen og de prosedyrer og vilkår som kreves i den anmodede part for å gjennomføre undersøkelsen. Alle avgjørelser vedrørende gjennomføringen av undersøkelsen skal treffes av den anmodede part som forestår undersøkelsen

Artikkel 6

Muligheten til å avslå en anmodning

  1. Den kompetente myndighet i den anmodede part kan avslå å yte bistand.

    1. der en anmodning ikke er fremmet i samsvar med denne overenskomst;

    2. den anmodende part ikke har uttømt alle tilgjengelige muligheter til å innhente opplysningene på eget territorium, unntatt de muligheter som ville innebære uforholdsmessige vanskeligheter; eller

    3. der åpenbaring av opplysningene ville stride mot allmenne interesser (ordre public).

  2. Denne overenskomst skal ikke pålegge en anmodet part en plikt til å oversende opplysninger som er omfattet av «legal privilege», eller av en handels-, nærings-, eller yrkessekretess eller prosess. Det forutsettes at slike opplysninger som omhandles i artikkel 4 punkt 4 ikke av denne omstendighet alene skal anses omfattet av en slik sekretesse eller handelsprosess.

  3. En anmodning om opplysninger kan ikke avslås på grunn av at de skattekrav som ga foranledning til anmodningen er bestridt.

  4. Den anmodede part er ikke forpliktet til å innhente og oversende opplysninger som ikke kunne vært innhentet av den kompetente myndighet i den anmodende part etter dennes lovgivning dersom opplysningene hadde befunnet seg innenfor denne parts jurisdiksjon.

  5. Den anmodede part kan avslå en anmodning om opplysninger dersom opplysningene i den anmodende part skal benyttes til å administrere eller iverksette en bestemmelse i denne parts skattelovgivning eller dermed sammenhengende forpliktelser, som diskriminerer en statsborger av den anmodede part sammenlignet med en statsborger av den anmodende part, under ellers like vilkår.

Artikkel 7

Taushetsplikt

  1. Alle opplysninger som oversendes og mottas av partenes kompetente myndigheter skal holdes hemmelige.

  2. Slike opplysninger skal bare åpenbares til myndigheter og personer (herunder domstoler og forvaltningsorganer) som har befatning med de formål som er angitt i artikkel 1, og skal av disse personer eller myndigheter bare benyttes til disse formål, herunder avgjørelse av klagesak. For disse formål kan opplysninger åpenbares i offentlige rettsmøter og rettsavgjørelser.

  3. Slike opplysninger kan ikke benyttes til andre formål enn de som er angitt i artikkel 1 uten uttrykkelig skriftlig samtykke fra den kompetente myndighet i den anmodede part.

  4. Opplysninger som er oversendt til en anmodende part etter denne overenskomst kan ikke åpenbares for noen annen jurisdiksjon.

Artikkel 8

Kostnader

Med mindre partenes kompetente myndigheter blir enige om noe annet, skal ordinære kostnader oppstått ved å yte bistand bæres av den anmodede part, og ekstraordinære kostnader oppstått ved å yte bistand (herunder utgifter til eksterne rådgivere som engasjeres ved rettstvist eller på annen måte) bæres av den anmodende part. De kompetente myndigheter skal samrå seg med hverandre fra tid til annen om denne artikkel, og især skal den kompetente myndighet i den anmodede part konsultere de kompetente myndighet i den anmodende part på forhånd hvis kostnadene ved å innhente opplysningene må antas å bli betydelige.

Artikkel 9

Språk

Anmodninger om bistand og svar på disse skal utformes på engelsk.

Artikkel 10

Gjensidige overenskomster

  1. Partenes kompetente myndigheter skal ved gjensidig avtale på beste måte søke å løse enhver vanskelighet eller tvil som fortolkningen eller anvendelsen av denne overenskomst måtte fremby.

  2. I tillegg til avtaler som nevnt i punkt 1, kan partenes kompetente myndigheter i fellesskap bli enige om de prosedyrer som skal benyttes i henhold til artikkel 4, 5 og 8.

  3. Formell kommunikasjon, herunder anmodninger om utveksling av informasjon, som fremsettes i sammenheng med eller som følge av bestemmelser i de tilknyttede avtaler partene har inngått, skal skje skriftlig direkte til den kompetente myndighet i den annen part på den adresse som partene fra tid til annen skal informere hverandre om. All etterfølgende kommunikasjon angjeldende anmodning om utveksling av informasjon skal skje enten skriftlig eller muntlig, ettersom hva som passer, mellom de før nevnte kompetente myndigheter eller de som har deres fullmakt.

Artikkel 11

Ikrafttredelse

Denne overenskomst skal tre i kraft på den trettiende dag etter den siste av de datoer som de skriftlige underrettelser som hver av partene skal oversende når de krav som stilles etter dens lovgivning for å sette denne overenskomst i kraft, er gjennomført. Overenskomsten skal ha virkning:

  1. for straffbare skattesaker på denne dato; og

  2. for alle andre skattesaker som omfattes av artikkel 1 på denne dato, men bare med hensyn til skatteår som begynner på eller etter den 1. januar i det år som følger etter ikrafttredelsesdatoen, eller der det ikke er noe skatteår, for alle skattekrav som oppstår på eller etter denne dato.

Artikkel 12

Opphør

  1. Denne overenskomst skal forbli i kraft til den sies opp av en av partene.

  2. Hver av partene kan gi skriftlig varsel om opphør minst tre måneder før utløpet av ethvert kalenderår. I så fall skal overenskomsten opphøre å ha virkning for skatter som utskrives for ethvert skatteår som begynner på eller etter den 1. januar som følger etter utløpet av tremånedersperioden. Alle anmodninger mottatt frem til opphøret av virkingen av denne overenskomst skal behandles i samsvar med denne overenskomstens bestemmelser.

  3. Dersom overenskomsten blir brakt til opphør skal partene forbli bundet av bestemmelsene i artikkel 7 med hensyn til informasjon som er innhentet i medhold av denne overenskomst.

Til bekreftelse av foranstående har de undertegnende, som er gitt behørig fullmakt til dette, undertegnet denne overenskomst.

Agreement between the Kingdom of Norway and the States of Guernsey for the exchange of information relating to tax matters

Whereas the Government of the Kingdom of Norway and the States of Guernsey («the Parties») recognise that present legislation in Guernsey already provides for cooperation and the exchange of information in criminal tax matters;

Whereas the Parties have long been active in international efforts in the fight against financial and other crimes, including the targeting of terrorist financing;

Whereas it is acknowledged that the States of Guernsey under the terms of its Entrustment from the UK has the right to negotiate, conclude, perform and, subject to the terms of this Agreement, terminate a tax information exchange agreement with the Kingdom of Norway;

Whereas the States of Guernsey on 21 February 2002 entered into a political commitment to the OECD's principles of effective exchange of information;

Whereas the parties wish to enhance and facilitate the terms and conditions governing the exchange of information relating to taxes;

Now, therefore, the Parties have agreed to conclude the following Agreement which contains obligations on the part of the Parties only:

Article 1

Scope of the Agreement1

The Parties shall provide assistance through exchange of information that is foreseeably relevant to the administration and enforcement of the domestic laws of the Parties concerning the taxes covered by this Agreement, including information that is foreseeably relevant to the determination, assessment, enforcement or collection of tax with respect to persons subject to such taxes, or to the investigation of tax matters or the criminal prosecution of tax matters in relation to such persons. A requested Party is not obliged to provide information which is neither held by its authorities nor in the possession of nor obtainable by persons who are within its territorial jurisdiction. The rights and safeguards secured to persons by the laws or administrative practice of the requested Party remain applicable to the extent that they do not unduly prevent or delay effective exchange of information.

Article 2

Taxes Covered

  1. This Agreement shall apply to the following taxes imposed by the Parties:

    1. in the case of Guernsey:

      1. income tax;

      2. dwellings profits tax;

    2. in the case of Norway:

      1. tax on general income;

      2. tax on personal income;

      3. special tax on petroleum income;

      4. resource rent tax on income from production of hydroelectric power;

      5. withholding tax on dividends; and

      6. tax on remuneration to non-resident artistes, etc.

  2. This Agreement shall apply also to any identical taxes imposed after the date of signature of the Agreement in addition to or in place of the existing taxes. This Agreement shall apply also to any substantially similar taxes imposed after the date of signature of the Agreement in addition to or in place of the existing taxes, if the Parties so agree. The competent authority of each Party shall notify the other of substantial changes in laws which may affect the obligations of that Party pursuant to this Agreement.

Article 3

Definitions

  1. In this Agreement:

    1. «Guernsey» means Guernsey, Alderney and Herm, including the territorial sea adjacent to those islands, in accordance with international law;

    2. «Norway» means the Kingdom of Norway, and includes the land territory, internal waters, the territorial sea and the area beyond the territorial sea where the Kingdom of Norway, according to Norwegian legislation and in accordance with international law, may exercise her rights with respect to the seabed and subsoil and their natural resources; the term does not comprise Svalbard, Jan Mayen and the Norwegian dependencies («biland»);

    3. «company» means any body corporate or any entity that is treated as a body corporate for tax purposes;

    4. «competent authority» means, in the case of Guernsey, the Administrator of Income Tax or his delegate and in the case of Norway, the Minister of Finance or the Minister's authorised representative;

    5. «criminal laws» means all criminal laws designated as such under domestic law, irrespective of whether such are contained in the tax laws, the criminal code or other statutes;

    6. «criminal tax matters» means tax matters involving intentional conduct whether before or after the entry into force of this Agreement which is liable to prosecution under the criminal law of the requesting Party;

    7. «information gathering measures» means laws and administrative or judicial procedures enabling a requested Party to obtain and provide the information requested;

    8. «information» means any fact, statement, document or record in whatever form;

    9. «person» means a natural person, a company or any other body or group of persons;

    10. «publicly traded company» means any company whose principal class of shares is listed on a recognised stock exchange provided its listed shares can be readily purchased or sold by the public. Shares can be purchased or sold «by the public» if the purchase or sale of shares is not implicitly or explicitly restricted to a limited group of investors;

    11. «principal class of shares» means the class or classes of shares representing a majority of the voting power and value of the company;

    12. «public collective investment scheme» means any scheme or fund, in which the purchase, sale or redemption of shares or other interests is not implicitly or explicitly restricted to a limited group of investors;

    13. «recognised stock exchange» means any stock exchange agreed upon by the competent authorities of the Parties;

    14. «requested Party» means the Party to this Agreement which is requested to provide or has provided information in response to a request;

    15. «requesting Party» means the Party to this Agreement submitting a request for or having received information from the requested Party;

    16. «tax» means any tax covered by this Agreement.

  2. As regards the application of this Agreement at any time by a Party, any term not defined therein shall, unless the context otherwise requires, have the meaning that it has at that time under the laws of that Party, any meaning under the applicable tax laws of that Party prevailing over a meaning given to the term under other laws of that Party.

Article 4

Exchange of Information Upon Request

  1. The competent authority of the requested Party shall provide upon request by the requesting Party information for the purposes referred to in Article 1. Such information shall be exchanged without regard to whether the requested Party needs such information for its own tax purposes or the conduct being investigated would constitute a crime under the laws of the requested Party if it had occurred in the territory of the requested Party. The competent authority of the requesting Party shall only make a request for information pursuant to this Article when it is unable to obtain the requested information by other means, except where recourse to such means would give rise to disproportionate difficulty.

  2. If the information in the possession of the competent authority of the requested Party is not sufficient to enable it to comply with the request for information, the requested Party shall use at its own discretion all relevant information gathering measures necessary to provide the requesting Party with the information requested, notwithstanding that the requested Party may not need such information for its own tax purposes.

  3. If specifically requested by the competent authority of the requesting Party, the competent authority of the requested Party shall provide information under this Article, to the extent allowable under its domestic laws, in the form of depositions of witnesses and authenticated copies of original records.

  4. Each Party shall ensure that it has the authority, subject to the terms of Article 1, to obtain and provide, through its competent authority and upon request:

    1. information held by banks, other financial institutions, and any person, including nominees and trustees, acting in an agency or fiduciary capacity;

      1. information regarding legal and beneficial ownership of companies, partnerships, foundations and other persons, including in the case of collective investment schemes, information on shares, units and other interests;

      2. in the case of trusts, information on settlors, trustees, protectors and beneficiaries; in the case of foundations, information on founders, members of the foundation council and beneficiaries.

        Provided that this Agreement does not create an obligation for a Party to obtain or provide ownership information with respect to publicly traded companies or public collective investment schemes, unless such information can be obtained without giving rise to disproportionate difficulties.

  5. Any request for information shall be formulated with the greatest detail possible and shall specify in writing:

    1. the identity of the person under examination or investigation;

    2. the period for which the information is requested;

    3. the nature of the information requested and the form in which the requesting Party would prefer to receive it;

    4. the tax purpose for which the information is sought;

    5. the reasons for believing that the information requested is foreseeably relevant to tax administration and enforcement of the requesting Party, with respect to the person identified in subparagraph (a) of this paragraph;

    6. grounds for believing that the information requested is present in the requested Party or is in the possession of, or obtainable by, a person within the jurisdiction of the requested Party;

    7. to the extent known, the name and address of any person believed to be in possession or control of the information requested;

    8. a statement that the request is in conformity with the laws and administrative practices of the requesting Party, that if the requested information was within the jurisdiction of the requesting Party then the competent authority of the requesting Party would be able to obtain the information under the laws of the requesting Party or in the normal course of administrative practice and that it is in conformity with this Agreement;

    9. a statement that the requesting Party has pursued all means available in its own territory to obtain the information, except where that would give rise to disproportionate difficulty.

  6. The competent authority of the requested Party shall acknowledge receipt of the request of the competent authority of the requesting Party and shall use its best endeavours to forward the requested information to the requesting Party as soon as possible.

Article 5

Tax Examinations Abroad

  1. With reasonable notice the requesting Party may request that the requested Party allow representatives of the competent authority of the requesting Party to enter the territory of the requested Party, to the extent permitted under its domestic laws, to interview individuals and examine records with the written consent of the individuals or other persons concerned. The competent authority of the requesting Party shall notify the competent authority of the requested Party of the time and place of the intended meeting with the individuals concerned.

  2. At the request of the competent authority of the requesting Party, the competent authority of the requested Party may permit representatives of the competent authority of the requesting Party to attend a tax examination in the territory of the requested Party.

  3. If the request referred to in paragraph 2 is granted, the competent authority of the requested Party conducting the examination shall, as soon as possible, notify the competent authority of the requesting Party of the time and place of the examination, the authority or person authorised to carry out the examination and the procedures and conditions required by the requested Party for the conduct of the examination. All decisions regarding the conduct of the examination shall be made by the requested Party conducting the examination.

Article 6

Possibility of Declining a Request

  1. The competent authority of the requested Party may decline to assist:

    1. where the request is not made in conformity with this Agreement;

    2. where the requesting Party has not pursued all means available in its own territory to obtain the information, except where recourse to such means would give rise to disproportionate difficulty; or

    3. where the disclosure of the information requested would be contrary to public policy («ordre public»).

  2. This Agreement shall not impose upon a requested Party any obligation to provide items subject to legal privilege, or any trade, business, industrial, commercial or professional secret or trade process, provided that information described in Article 4, paragraph 4, shall not by reason of that fact alone be treated as such a secret or trade process.

  3. A request for information shall not be refused on the ground that the tax claim giving rise to the request is disputed.

  4. The requested Party shall not be required to obtain and provide information which if the requested information was within the jurisdiction of the requesting Party the competent authority of the requesting Party would not be able to obtain under its laws or in the normal course of administrative practice.

  5. The requested Party may decline a request for information if the information is requested by the requesting Party to administer or enforce a provision of the tax law of the requesting Party, or any requirement connected therewith, which discriminates against a national or citizen of the requested Party as compared with a national or citizen of the requesting Party in the same circumstances.

Article 7

Confidentiality

  1. All information provided and received by the competent authorities of the Parties shall be kept confidential.

  2. Such information shall be disclosed only to persons or authorities (including courts and administrative bodies) concerned with the purposes specified in Article 1, and used by such persons or authorities only for such purposes, including the determination of any appeal. For these purposes, information may be disclosed in public court proceedings or in judicial decisions.

  3. Such information may not be used for any purpose other than for the purposes stated in Article 1 without the express written consent of the competent authority of the requested Party.

  4. Information provided to a requesting Party under this Agreement may not be disclosed to any other jurisdiction.

Article 8

Costs

Unless the competent authorities of the Parties otherwise agree, ordinary costs incurred in providing assistance shall be borne by the requested Party, and extraordinary costs in providing assistance (including costs of engaging external advisors in connection with litigation or otherwise) shall be borne by the requesting Party. The respective competent authorities shall consult from time to time with regard to this Article, and in particular the competent authority of the requested Party shall consult with the competent authority of the requesting Party in advance if the costs of providing information with respect to a specific request are expected to be significant.

Article 9

Language

Requests for assistance and responses thereto shall be drawn up in English.

Article 10

Mutual Agreement Procedures

  1. Where difficulties or doubts arise between the Parties regarding the implementation or interpretation of this Agreement, the respective competent authorities shall use their best efforts to resolve the matter by mutual agreement.

  2. In addition to the agreements referred to in paragraph 1, the competent authorities of the Parties may mutually agree on the procedures to be used under Articles 4, 5 and 8.

  3. Formal communications, including requests for information, made in connection with or pursuant to the provisions of the Agreements entered into will be in writing directly to the competent authority of the other Party at such address as may be notified by one Party to the other from time to time. Any subsequent communications regarding requests for information will be either in writing or verbally, whichever is most practical, between the earlier mentioned competent authorities or their authorised representatives.

Article 11

Entry into force

This Agreement shall enter into force on the thirtieth day after the later of the dates on which each of the Parties has notified the other in writing that the procedures required by its law have been complied with. The Agreement shall have effect:

  1. for criminal tax matters on that date; and

  2. for all other matters covered in Article 1 on that date, but only in respect of any tax year beginning on or after the first day of January of the calendar year next following that in which this Agreement enters into force or, where there is no tax year, all charges to tax arising on or after that date.

Article 12

Termination

  1. This Agreement shall remain in force until terminated by either Party.

  2. Either Party may terminate the Agreement by giving written notice of termination at least three months before the end of any calendar year. In such event, the Agreement shall cease to have effect on taxes chargeable for any tax year beginning on or after the first day of January of the calendar year next following the end of the three months period. All requests received up to the effective date of termination will be dealt with in accordance with the terms of this Agreement.

  3. If the Agreement is terminated the Parties shall remain bound by the provisions of Article 7 with respect to any information obtained under this Agreement.
